1. Legal

[Scope of Application]  This Legal Statement (hereinafter referred to as the “Statement”) applies to the website design and development, SEO optimization, and other related services (hereinafter referred to as the “Service”) provided by [YUSIHK] (hereinafter referred to as the “Company”) to Chinese clients in Hong Kong, Taiwan, and overseas. It aims to clarify the legal rights and obligations between the Company and its clients and service users, and to protect the legitimate rights and interests of both parties.
The services provided by our company comply with the following laws, regulations and industry standards, and are adjusted for compliance based on the client’s location:
  • Hong Kong: Electronic Transactions Ordinance (Cap. 553), Personal Data (Privacy) Ordinance (Cap. 486), Fair Trading Ordinance (Cap. 619);
  • Taiwan: Basic Law on Electronic Commerce, Personal Data Protection Act, and Fair Trade Act;
  • Countries/regions where overseas Chinese reside: Refer to local laws on e-commerce, data protection, and internet services (such as the EU General Data Protection Regulation (GDPR) and the US California Consumer Privacy Act (CCPA), and adjust based on the scope of service coverage);
  • International practice: general principles related to trade in services in the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The Company promises to strictly abide by the above laws and regulations throughout the service process, not engage in any illegal or irregular business activities, and actively cooperate with regulatory requirements in the customer’s region.

1.2 Scope of Service and Disclaimer

  1. Service boundaries : The Company only provides services based on the service agreement signed by both parties or the confirmed list of requirements. The Company reserves the right to charge additional fees or refuse to provide additional services that have not been agreed in writing (such as website redesigns exceeding the agreed number of times, unspecified SEO additional vocabulary optimization, etc.).
  2. Effect Disclaimer :
    • Website design and development services: The company guarantees that the website’s functionality meets the requirements document agreed upon by both parties. However, the company does not make an absolute commitment to the commercial benefits (such as sales volume or conversion rate) after the website goes online. The company is not responsible for losses caused by non-technical issues such as the client’s own operations and changes in the market environment.
    • SEO Services: Our company provides optimization services based on the public rules of search engines (such as Google, Baidu, and Yahoo!). However, if rankings fluctuate or expectations are not achieved due to factors such as search engine algorithm adjustments, increased industry competition, or the client’s failure to cooperate with the optimization plan (such as refusal to adjust website content or delay in providing materials), our company will not be liable for breach of contract, but will assist the client in adjusting its strategy.
  3. Third-party liability : If the service process involves third-party resources (such as hosting service providers, domain name registrars, third-party plug-ins/APIs, image/font copyright materials, etc.), the company is only responsible for “reasonable selection and integration”. Issues such as third-party service interruptions, fee adjustments, copyright disputes, etc. shall be resolved directly through negotiation between the client and the third party. The company can provide necessary assistance but does not assume direct liability (unless the problem is caused by gross negligence of the company in selecting the third party).

1.3 Data Protection and Privacy

  1. Data Collection and Use : The Company collects necessary information from customers (such as business licenses, information required for website operations, website backend accounts required for SEO optimization, etc.), as well as data generated during the service process (such as website access data, SEO ranking data, etc.) for the purpose of providing services. Without the written consent of the customer, the information will not be disclosed to any third party or used for purposes other than providing services.
  2. Cross-border data transfer : If customer data needs to be transferred across regions (e.g., if our company provides services in mainland China and the customer is located in Hong Kong/Taiwan), we will strictly comply with the cross-border data regulations of the customer’s region (such as the licensing requirements for cross-border data transfer under Taiwan’s Personal Data Protection Act) and adopt security measures such as encrypted transmission and data de-identification to ensure data security.
  3. Customer Privacy Obligations : Customers promise that all information provided to the Company is true and legal. If any legal dispute arises due to the customer providing false information (such as forged business licenses, unauthorized copyrighted materials), the customer shall bear all responsibility and compensate the Company for any losses incurred as a result.

1.4 Dispute Resolution and Jurisdiction

  1. Negotiation priority : Any legal disputes arising from this service (such as service quality, fees, copyright, etc.) should first be resolved through friendly negotiation between the two parties. The negotiation period is within 30 days after the dispute occurs.
  2. Arbitration and litigation : If negotiation fails, the parties may choose any of the following methods to resolve the dispute:
    • Arbitration: Submit the case to an arbitration institution, such as the Hong Kong International Arbitration Centre (HKIAC) or the Chinese Arbitration Association in Taiwan, and conduct the arbitration in accordance with the institution’s prevailing arbitration rules. The arbitration award shall be final and binding on both parties.
    • Litigation: File a lawsuit in the court with jurisdiction over the company’s location (if the company is located in the Mainland, it can be agreed that “litigation arising from this service shall be under the jurisdiction of the People’s Court of the company’s location”. At the same time, we will respect the reasonable requests of customers in Hong Kong and Taiwan for the jurisdiction of local courts, which can be separately agreed in the service agreement).
  3. Applicable Law : Unless otherwise agreed by the parties, disputes shall be resolved in accordance with the laws of the People’s Republic of China (excluding the laws of Hong Kong, Macao and Taiwan). However, legal issues under the exclusive jurisdiction of Hong Kong and Taiwan (such as local company registration and tax compliance) shall prevail in accordance with the laws of those regions.
